1. What are the four essential elements of a contract?

  1. Offer: This is the initial step towards a contract. One party makes an offer to provide a service, sell a product, trade, or engage in any other business enterprise.
  2. Acceptance: It ensures the party agrees to the terms of the original proposal or makes a counteroffer (any conditional approval or inclusion of additional terms).
  3. Consideration: Contracts are not legally binding unless something of value is transferred (money, a pledge, or some other value). The factor of consideration is the foundation of a contract.
  4. Capacity: Each party must reasonably presume that the other party has the legal right and the ability to fulfill its share of a contract. They must also fully understand their commitments at the time of agreement.

 

2. What should be in a music contract?

Term: It is the duration of the agreement, expressed in years or releases (number of albums, etc.).

Pay (including royalties): A record deal will provide an artist with two kinds of actual income: The record advance (money received in advance of the project’s release) and royalties or points (a proportion of money that the work’s licenses, streaming, downloads, and sales generate).

Deductions: The sum subtracted from the artist’s paycheck to prevent an artist from recouping their advance. Standard deductions include art, marketing, production, physical manufacturing, etc.

Creative Control: It refers to the authority to grant final permission for any artistic undertaking, such as video recording.

Exploitation period: It is the time frame in which a label can profit from recordings created under the agreement.

 

Contract period: It is the time when an artist is solely committed to a label. The label is often awarded the master rights to all assets produced throughout the contract. The contract length limits the artist’s independence because switching labels is nearly impossible.
